Terms of Service

These Terms of Service (the “Terms”) govern the use of the Royal Digital website (the “Service Provider”) and the ordering of any of its services. Please read them carefully: your use of the site, or the placing of any service order, constitutes express and binding acceptance of these Terms. If you do not agree to any part of them, you must refrain from using the site.
1. Scope of Services
The Service Provider provides custom software and technical development services. The precise scope, deliverables, timeline, and value of each project are set out in that project's Service Agreement, which together with these Terms forms a single instrument. In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail with respect to that project.
2. Accounts & Registration
The user shall provide accurate and up-to-date information when registering, keep account credentials confidential, and bear responsibility for all activity carried out through the account. The Service Provider may suspend or close any account used in violation of these Terms.
3. Acceptable Use
- The site and its services may not be used for any activity that violates the laws in force in the Kingdom of Bahrain or in the user's country.
- Any attempt to gain unauthorized access to, disrupt, or probe the site's systems without prior written authorization is prohibited.
- Commissioning software intended for fraud, infringement of third-party rights, or any other unlawful purpose is prohibited.
The Service Provider reserves the right to decline any service order, or to halt its execution, where a violation of the foregoing is established, without prejudice to its right to payment for work already performed.
4. Payment
Payments are due according to the schedule specified in each project's Service Agreement and are settled through the payment methods accepted by the Service Provider, namely BenefitPay and the USDT stablecoin. Cryptocurrency payments are deemed complete upon network confirmation of the transfer. Late payment may result in work on the project being suspended until the outstanding balance is settled, without this constituting a breach by the Service Provider of its obligations.
5. Intellectual Property
Intellectual property rights over each project's deliverables are governed by the detailed provisions of that project's Service Agreement. As a general rule, upon payment in full of the agreed amount, the Client is granted a permanent, irrevocable license to use and commercially exploit the deliverables within its own business, while ownership of the underlying source code, frameworks, and pre-existing components (“Background IP”) remains vested in the Service Provider at all times.
6. Electronic Execution
Contracts are drafted, presented, and executed electronically through an integrated digital system operated by the Service Provider and in active use on this site. An electronic signature captured through this system is valid, effective, and binding for all legal purposes, carrying the same weight as a traditional handwritten signature without further notarization. By executing a contract in this manner, the parties acknowledge the reliability of its contents and electronic signature.
7. Service Availability
The site and its services are provided on an as-available basis. The Service Provider exercises reasonable efforts to keep them operational but does not warrant that they will be uninterrupted or error-free at all times. The site may be temporarily taken offline for maintenance or development, and the Service Provider shall not be liable for any interruption beyond its reasonable control.
8. Limitation of Liability
Without prejudice to any mandatory provision of law that may not be contracted out of, Royal Digital shall not be liable for any indirect or consequential damages arising from use of its services. Its maximum liability in all cases is limited to the amounts actually paid for the service in question.
9. Force Majeure
Neither party shall be deemed in breach of its obligations where performance is prevented or delayed by force majeure beyond its reasonable control, including natural disasters, war, civil unrest, failure of telecommunications networks or infrastructure, or acts of competent authorities. The affected obligations shall be suspended for the duration of the force majeure event.
10. Refunds & Cancellation
Refund and cancellation requests are governed by the Refund & Cancellation Policy published on the site, which forms an integral part of these Terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Kingdom of Bahrain. Any dispute arising from them shall first be resolved through amicable negotiation; failing that, it shall be referred to the competent courts of the Kingdom of Bahrain.
12. General Provisions
- Assignment: the Client may not assign its rights or obligations under these Terms to any third party without the Service Provider's prior written consent.
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- No waiver: a party's failure to enforce any of its rights shall not constitute a waiver of that right.
- Entire agreement: these Terms, together with each project's Service Agreement and the policies published on the site, constitute the entire agreement between the parties regarding their subject matter.
- Notices: formal notices and correspondence shall be given in writing via the email address registered on the account or via support tickets, and take effect from the date of dispatch.
13. Changes to These Terms
The Service Provider may amend these Terms from time to time. Any amendment will be published on this page with the last-revised date updated accordingly. Continued use of the site after publication constitutes acceptance of the amended Terms; amendments do not apply retroactively to Service Agreements executed before their publication.
